01營運者、同意及適用範圍

本網站及 Shopify 網店（合稱「本網店」）由 PL A-VENTURE LIMITED（「PL A-VENTURE」、「我們」、「本公司」）營運。PL A-VENTURE LIMITED 為本網店的營運者、實際收款方、發票或收據簽發者，以及就本網店實體產品訂單與顧客訂立買賣合約的法律實體。

當你瀏覽或使用本網店、建立帳戶、提交訂單或購買產品，即表示你同意受本《網站使用及購物條款》（「本條款」）以及本網店所列的適用政策約束。如你不同意，請停止使用本網店及不要提交訂單。

本條款只適用於本網店的瀏覽與使用、顧客帳戶，以及透過本網店購買的實體產品。本條款不適用於 Equipment Rental（裝備租借）、Gear Storage（裝備寄存）、Lessons、Camps、活動、旅遊安排或任何另有指定服務條款的服務。

03另行規管的服務

Equipment Rental、Gear Storage 及其他另有服務條款的預約或服務，分別受其適用的服務條款、預約政策、取消及退款政策規管。

即使顧客透過本網店支付服務按金、購買服務券或完成其他服務相關付款，Shopify 結帳只屬付款安排，並不會將該服務轉為一般實體產品訂單，亦不代表任何預約、日期、庫存或服務安排已獲確認。相關預約只會在 PL A-VENTURE 另行發出書面確認後成立。

04使用資格及顧客帳戶

你必須具備訂立具約束力合約的法律能力，方可自行下單。如你未達所在地的法定成年年齡，必須由父母或合法監護人同意並代為完成交易。

你須確保所提供的姓名、聯絡、帳單、送貨及付款資料準確、完整及保持更新。你有責任妥善保管帳戶及密碼，並應在發現任何未經授權使用時立即通知我們。我們可在合理懷疑涉及欺詐、濫用、保安風險或違反本條款時暫停或限制帳戶，但不會影響法律上已產生的權利。

05產品資料、顏色及供應

我們會合理地確保產品描述、規格、尺寸、圖片、價格及庫存資料準確。不同螢幕、裝置及拍攝光線可能令實物顏色或外觀與圖片略有差異；合理的輕微差異不構成產品瑕疵，但不影響產品必須符合描述及適用法律下的權利。

所有產品均視乎供應情況。將產品加入購物車不代表已保留庫存。我們可按實際庫存、購買限制、防止轉售或合理營運需要限制每人、每戶、每個帳戶或每張訂單的購買數量。

06價格、貨幣、稅項及推廣

除非另有註明，本網店價格以結帳頁顯示的貨幣為準。送貨費、稅項、關稅、進口費或其他適用收費會在結帳時顯示，或由目的地的主管機關、承運商或服務供應商另行徵收。海外顧客須自行負責目的地可能產生的關稅、進口稅及清關費用。

推廣、折扣、優惠碼、贈品及限時優惠受其個別條款、有效期及供應情況規管，除非明確註明，否則不可合併使用、兌換現金或追溯套用。若價格或推廣資料出現明顯錯誤，我們會在接納訂單前聯絡你更正或取消；如已收款而訂單被取消，我們會全額退回相關款項，不扣除5%費用。

07訂單、接納及買賣合約

本網店展示產品屬邀請顧客提出購買要約。當你提交訂單，即向我們提出購買訂單內產品的要約。自動發出的訂單確認或付款通知只表示我們已收到訂單，並不代表訂單已被接納。

產品買賣合約會在我們發出出貨確認、可供取貨確認，或以其他書面方式明確接納訂單時成立。對於同一訂單內分開出貨的產品，每批產品可在其出貨確認發出時分別成立合約。

我們可在合理情況下拒絕或取消訂單，包括缺貨、付款未獲授權、資料不完整、價格或產品資料明顯錯誤、懷疑欺詐、違反購買限制或無法送達。如我們取消已付款但尚未接納或無法履行的訂單，會退回相關款項，並不扣除5%費用。

08付款

你確認你有權使用所選付款方式，並授權我們及付款服務供應商收取訂單所列款項。付款須經相關金融機構或付款平台授權。若付款被拒絕、撤回、退單或被識別為高風險交易，我們可暫停處理或取消訂單。

付款資料可能由 Shopify 或獨立付款服務供應商直接處理，並受其服務條款及私隱安排規管。我們對個人資料的處理則受本網店 Privacy Policy 規管。

09送貨、取貨、風險及所有權

送貨地區、方式、預計時間、運費、追蹤、未能派送及取貨安排，以 Shipping Policy 及結帳頁所示資料為準。送貨時間屬估計，或會受海關、天氣、運輸或其他合理控制範圍以外的情況影響。

除適用法律另有規定外，產品在送達你所提供的地址並獲收取，或在你／獲授權人士完成取貨時，產品遺失或損壞的風險轉移予你。產品所有權則在我們收妥全部款項及完成交付後轉移。旺角陳列室取貨須按指定時間預約及出示所需證明。

10取消、退貨、換貨及退款

訂單取消、退貨、換貨、退款資格、時限、產品狀態、不可退還項目、送貨費及退款方式，均受申請當時適用的 Refund Policy 規管。除法律或 Refund Policy 另有規定外，提交訂單後不保證可更改或取消訂單。

如 Refund Policy 容許退款，我們會從原應退還的款項中扣除相等於退款金額5%的行政及付款處理費。

如退款是由於產品存在瑕疵、收到錯誤產品、產品與描述有重大不符、我們的處理錯誤、我們取消或無法履行訂單，或適用法律規定必須作出全額退款，則不會扣除上述5%費用。任何退款不會減少顧客根據適用法律享有且不能被排除的權利。

11PL Credit、禮券及專項安排

PL Credit 的購買、發放、使用範圍、有效期、轉讓、退款及任何限制，以 PL Credit Terms 為準。除該條款或適用法律另有規定外，PL Credit 不屬現金、不可要求兌換現金，亦不得用於其指定範圍以外的交易。

產品登記、保養、護理及維修、Trade-in 或其他售後安排分別受相關專項政策規管。完成產品登記不會自動擴大法定權利或相關產品保養政策列明的保障範圍。

12產品使用、安全及保養

你應在使用產品前閱讀並遵從產品標籤、尺寸、安裝、保養、安全及使用指引，並按產品的指定用途使用。雪上運動及戶外活動本身涉及風險；任何雪鏡、手套、太陽眼鏡、服裝或配件均不能消除所有受傷、碰撞、天氣、紫外線、能見度或環境風險。

本段不限制產品必須符合描述、具備適銷品質、符合已告知的合理用途，或顧客根據適用法律享有且不能被排除的其他權利。

13網站內容及知識產權

除另有註明外，本網店的品牌名稱、商標、標誌、產品名稱、設計、相片、影片、圖像、文字、版面及其他內容均由 PL A-VENTURE、其關聯方或授權人擁有或合法使用。你只可為個人及非商業購物目的瀏覽及使用本網店。

未經事先書面同意，你不得複製、改作、發布、出售、授權、抓取、建立衍生作品，或以其他方式作商業使用；適用法律明確准許的情況除外。

14評論、相片及顧客提交內容

如你向本網店提交評論、相片、影片、建議或其他內容，你確認有權提交該內容，內容真實且不侵犯他人的私隱、知識產權或其他權利。你授予我們一項非獨家、全球性、免版稅的權利，在營運、展示及推廣本網店或相關產品所合理需要的範圍內使用、重製及展示該內容，並在適當及可行情況下標示來源。

我們可移除涉嫌違法、冒犯、誤導、侵犯權利、包含惡意程式或與產品無關的內容，但沒有義務預先審查所有顧客內容。

15第三方服務及連結

本網店可能使用或連結至 Shopify、付款平台、物流服務、社交媒體或其他第三方服務。第三方服務由相關供應商獨立營運，使用時可能受其條款及私隱政策規管。我們不控制第三方網站的內容或可用性；但本段不免除我們就本網店訂單依法須承擔的責任。

16禁止使用

你不得利用本網店從事違法、欺詐、侵權或有害活動；冒充他人；提交虛假資料；干擾網站、伺服器、付款或保安功能；傳播病毒或惡意程式；未經授權存取帳戶或資料；大量自動抓取內容；繞過購買限制；或以轉售、操縱優惠、退單欺詐等方式濫用本網店。

我們可在合理及相稱的情況下限制或終止相關使用、取消未接納的訂單，並保留依法追究的權利。

17網站可用性、免責及責任限制

我們會合理地維持本網店運作，但不保證網站在任何時間均不中斷、無延誤、無錯誤或完全免受保安風險。因維護、更新、網絡、第三方平台或合理控制範圍以外的情況，本網店可能暫停或部分不可用。

在適用法律准許及合理的最大範圍內，我們不就你本可合理避免的損失、純粹商業損失，或並非本公司違反本條款而直接及可合理預見地造成的間接損失負責。

本條款任何內容均不排除或限制：因疏忽導致死亡或人身傷害的責任；欺詐或欺詐性失實陳述的責任；適用的 Sale of Goods Ordinance、Control of Exemption Clauses Ordinance、Unconscionable Contracts Ordinance 或其他法律下不能被排除或限制的責任、條件、保證或消費者權利。

18不可控制事件

如因天災、極端天氣、火災、疫症、戰爭、騷亂、政府措施、海關延誤、罷工、運輸中斷、網絡或平台故障，或其他超出合理控制範圍的事件導致延誤或未能履行，我們不會就該段期間的延誤承擔責任。我們會採取合理措施減低影響，並在無法履行訂單時按適用法律及 Refund Policy 處理退款；由我們無法履行而產生的退款不扣除5%費用。

19暫停、終止及條款更新

你可隨時停止使用本網店。我們可因保安、維護、法律要求或重大違反本條款而暫停或終止你使用本網店。終止不影響終止前已產生的權利、付款責任或已成立的買賣合約。

我們可不時更新本條款，並於本頁公布修訂版本及更新日期。除法律另有要求或經雙方同意外，已成立的產品訂單一般受我們接納該訂單時生效的版本規管。重大修訂只會按適用法律向前生效。

20一般條款

如本條款任何部分被裁定為無效、違法或不可執行，該部分會在所需最小範圍內分割或修訂，其餘部分繼續有效。我們延遲或沒有行使任何權利，不構成放棄該權利。

除本條款明確納入的政策及訂單確認內容外，本條款構成你與我們就本網店使用及相關產品訂單的協議。任何標題只為方便閱讀，不影響解釋。

21適用法律、司法管轄權及語言

本條款及透過本網店成立的產品買賣合約受香港特別行政區法律管轄。香港法院對相關爭議具有非專屬司法管轄權；但本段不會剝奪顧客在其通常居住地根據不能以合約排除的適用法律所享有的保障。

本條款提供繁體中文及英文版本。如兩個版本有任何歧義、不一致或衝突，概以英文版本為準；適用法律另有規定除外。

PL A-VENTURE Terms of Use and Purchase

1. Operator, Acceptance and Scope

This website and Shopify online store (together, the “Online Store”) are operated by PL A-VENTURE LIMITED (“PL A-VENTURE”, “we”, “us” or “our”). PL A-VENTURE LIMITED is the operator of the Online Store, the entity that receives payment and issues invoices or receipts, and the legal entity entering into the relevant contract of sale with the customer for physical-product orders placed through the Online Store.

By accessing or using the Online Store, creating an account, submitting an order or purchasing a product, you agree to be bound by these Terms of Use and Purchase (“Terms”) and the applicable policies displayed on the Online Store. If you do not agree, please stop using the Online Store and do not submit an order.

These Terms apply only to access to and use of the Online Store, customer accounts and purchases of physical products through the Online Store. They do not apply to Equipment Rental, Gear Storage, Lessons, Camps, events, travel arrangements or any service governed by separate service terms.

2. Specific Policies and Priority

The Refund Policy, Shipping Policy, Privacy Policy, Product Registration Terms, Warranty Policy, Care & Repair Policy, Trade-in Policy and PL Credit Terms each govern their specified subject matter and form part of these Terms.

If there is any inconsistency or conflict between these Terms and a specific policy in relation to the same subject matter, the relevant specific policy shall prevail. Matters not otherwise addressed by that policy shall continue to be governed by these Terms.

3. Separately Governed Services

Equipment Rental, Gear Storage and any other booking or service subject to separate terms are governed by their applicable service terms, booking policies and cancellation and refund policies.

Where a service deposit, service voucher or other service-related payment is processed through the Online Store, Shopify checkout is used solely as a payment arrangement. It does not convert that service into an ordinary physical-product order and does not confirm any booking, date, availability or service arrangement. The relevant booking is confirmed only when PL A-VENTURE issues separate written confirmation.

4. Eligibility and Customer Accounts

You must have legal capacity to enter into a binding contract to place an order independently. If you are under the age of majority where you live, a parent or legal guardian must consent to and complete the transaction for you.

You must provide accurate, complete and current identity, contact, billing, delivery and payment information. You are responsible for safeguarding your account and password and must notify us promptly of any unauthorised use. We may suspend or restrict an account where we reasonably suspect fraud, misuse, a security risk or breach of these Terms, without affecting rights already accrued by law.

5. Product Information, Colour and Availability

We take reasonable care to ensure that product descriptions, specifications, sizes, images, prices and stock information are accurate. Actual colour or appearance may vary slightly because of screens, devices and lighting. A reasonable minor variation is not a defect, but this does not affect the requirement that products correspond with their description or any rights under applicable law.

All products are subject to availability. Adding an item to a cart does not reserve stock. We may apply reasonable per-person, household, account or order limits based on available stock, stated purchase limits, prevention of unauthorised resale or reasonable operational needs.

6. Prices, Currency, Taxes and Promotions

Unless stated otherwise, prices are charged in the currency displayed at checkout. Delivery fees, taxes, duties, import charges or other applicable amounts will be displayed at checkout or charged separately by the destination authority, carrier or service provider. International customers are responsible for duties, import taxes and clearance charges imposed at destination.

Promotions, discounts, codes, gifts and limited-time offers are subject to their specific conditions, validity period and availability. Unless expressly stated, they cannot be combined, exchanged for cash or applied retrospectively. If there is an obvious pricing or promotional error, we will contact you to correct or cancel the order before acceptance. If payment has been taken and the order is cancelled, the relevant amount will be refunded in full without the 5% fee.

7. Orders, Acceptance and Contract of Sale

Products displayed on the Online Store are an invitation for customers to make an offer to purchase. By submitting an order, you offer to purchase the products in that order. An automated order acknowledgement or payment notice confirms only that we have received the order and does not constitute acceptance.

A contract of sale is formed when we issue a dispatch confirmation, a collection-ready confirmation or another written notice expressly accepting the order. If products in one order are dispatched separately, a separate contract may be formed for each shipment when its dispatch confirmation is issued.

We may reasonably refuse or cancel an order because of unavailability, payment authorisation failure, incomplete information, an obvious pricing or product-information error, suspected fraud, breach of purchase limits or inability to deliver. If we cancel a paid order that has not been accepted or cannot be fulfilled, the relevant amount will be refunded without the 5% fee.

8. Payment

You confirm that you are authorised to use the selected payment method and authorise us and our payment service providers to charge the amounts shown in the order. Payment is subject to authorisation by the relevant financial institution or payment platform. We may hold or cancel an order if payment is declined, reversed, charged back or identified as high risk.

Payment information may be processed directly by Shopify or independent payment providers under their terms and privacy arrangements. Our processing of personal data is governed by the Online Store Privacy Policy.

9. Delivery, Collection, Risk and Title

Delivery areas, methods, estimates, fees, tracking, failed-delivery and collection arrangements are governed by the Shipping Policy and the information shown at checkout. Delivery times are estimates and may be affected by customs, weather, transport or circumstances outside our reasonable control.

Unless applicable law provides otherwise, risk of loss or damage passes to you when the product is delivered to and received at the address you supplied, or when you or an authorised person completes collection. Title passes after we receive full payment and delivery is completed. Collection from the Mong Kok showroom must be arranged for the designated time and may require proof of identity or order.

10. Cancellation, Returns, Exchanges and Refunds

Order cancellation, return, exchange and refund eligibility, time limits, product condition, non-refundable items, delivery charges and refund methods are governed by the Refund Policy in effect when the request is made. Unless required by law or the Refund Policy, an order is not guaranteed to be changeable or cancellable after submission.

Where a refund is permitted under the Refund Policy, an administration and payment-processing fee equal to 5% of the amount otherwise refundable will be deducted.

The 5% fee does not apply where the refund results from a defective product, an incorrect product being supplied, a product being materially inconsistent with its description, our processing error, our cancellation or inability to fulfil the order, or where a full refund is required by applicable law. No refund provision reduces any non-excludable statutory rights.

11. PL Credit, Vouchers and Specific Arrangements

The purchase, issue, permitted uses, validity, transfer, refund and restrictions of PL Credit are governed by the PL Credit Terms. Unless those terms or applicable law provide otherwise, PL Credit is not cash, cannot be redeemed for cash on demand and cannot be used outside its stated scope.

Product registration, warranty, care and repair, Trade-in and other after-sales arrangements are governed by their respective specific policies. Product registration does not automatically expand statutory rights or the coverage stated in the applicable Warranty Policy.

12. Product Use, Safety and Care

Before use, you should read and follow all product labels and sizing, fitting, care, safety and use instructions and use the product only for its intended purpose. Snow sports and outdoor activities involve inherent risks. Goggles, gloves, sunglasses, apparel and accessories cannot eliminate every risk of injury, collision, weather, ultraviolet exposure, visibility or the environment.

This section does not limit the requirement that products correspond with their description, be of merchantable quality and reasonably fit for a purpose made known to us, or any other non-excludable rights under applicable law.

13. Website Content and Intellectual Property

Unless stated otherwise, the brand names, trade marks, logos, product names, designs, photographs, videos, graphics, text, layout and other content on the Online Store are owned or lawfully used by PL A-VENTURE, its affiliates or licensors. You may access and use the Online Store only for personal, non-commercial shopping purposes.

Without prior written consent, you must not reproduce, adapt, publish, sell, license, scrape, create derivative works from or otherwise commercially exploit that content, except where applicable law expressly permits.

14. Reviews, Images and Customer Content

If you submit a review, photograph, video, suggestion or other content to the Online Store, you confirm that you have the right to submit it, that it is genuine and that it does not infringe another person's privacy, intellectual property or other rights. You grant us a non-exclusive, worldwide, royalty-free right to use, reproduce and display that content to the extent reasonably necessary to operate, display and promote the Online Store or relevant products, with attribution where appropriate and practicable.

We may remove content reasonably suspected to be unlawful, offensive, misleading, infringing, malicious or unrelated to the product, but are not obliged to pre-screen all customer content.

15. Third-party Services and Links

The Online Store may use or link to Shopify, payment platforms, logistics providers, social media or other third-party services. They are independently operated and may be subject to their own terms and privacy policies. We do not control the content or availability of third-party websites, but this section does not exclude our legal responsibility for Online Store orders.

16. Prohibited Uses

You must not use the Online Store for unlawful, fraudulent, infringing or harmful activity; impersonate another person; submit false information; interfere with website, server, payment or security functions; transmit malware; access accounts or data without authorisation; conduct mass automated scraping; circumvent purchase limits; or misuse the Online Store through unauthorised resale, promotion manipulation or chargeback fraud.

Where reasonable and proportionate, we may restrict or terminate such use, cancel orders not yet accepted and preserve our rights and remedies under law.

17. Website Availability, Disclaimers and Liability

We take reasonable steps to maintain the Online Store but do not promise that it will always be uninterrupted, delay-free, error-free or completely secure. It may be suspended or partially unavailable because of maintenance, updates, networks, third-party platforms or circumstances outside our reasonable control.

To the maximum extent permitted and reasonable under applicable law, we are not responsible for losses you could reasonably have avoided, purely commercial losses, or indirect losses that were not directly and reasonably foreseeable as a result of our breach of these Terms.

Nothing in these Terms excludes or limits: liability for death or personal injury caused by negligence; liability for fraud or fraudulent misrepresentation; or any liability, condition, warranty or consumer right that cannot be excluded or limited under the Sale of Goods Ordinance, Control of Exemption Clauses Ordinance, Unconscionable Contracts Ordinance or other applicable law.

18. Events Outside Reasonable Control

We are not liable for delay during any period in which performance is prevented by natural disaster, extreme weather, fire, epidemic, war, civil disorder, government action, customs delay, strike, transport disruption, network or platform failure, or another event outside our reasonable control. We will take reasonable steps to reduce the impact and, if an order cannot be fulfilled, process any refund in accordance with applicable law and the Refund Policy. A refund arising from our inability to fulfil an order is not subject to the 5% fee.

19. Suspension, Termination and Updates

You may stop using the Online Store at any time. We may suspend or terminate access for security, maintenance, legal requirements or a material breach of these Terms. Termination does not affect rights, payment obligations or contracts of sale accrued before termination.

We may update these Terms from time to time by publishing the revised version and update date on this page. Unless required by law or agreed with you, a product order already accepted will generally be governed by the version in effect when we accepted it. Material amendments apply prospectively in accordance with applicable law.

20. General

If any part of these Terms is held invalid, unlawful or unenforceable, it will be severed or modified only to the minimum extent necessary and the remaining parts will continue in effect. A delay or failure by us to exercise a right is not a waiver of that right.

Together with the policies expressly incorporated and the relevant order confirmation, these Terms form the agreement between you and us concerning use of the Online Store and related product orders. Headings are for convenience only and do not affect interpretation.

21. Governing Law, Jurisdiction and Language

These Terms and contracts of sale formed through the Online Store are governed by the laws of the Hong Kong Special Administrative Region. The courts of Hong Kong have non-exclusive jurisdiction over related disputes, but this does not deprive a customer of protections under mandatory applicable laws in the place where the customer habitually resides.

These Terms are provided in Traditional Chinese and English. If there is any ambiguity, inconsistency or conflict between the two versions, the English version prevails, except where applicable law requires otherwise.
