重要提示
PL Credit 是加入指定會員帳戶的商店購物額，並非現金。除適用法律另有規定外，不可兌換現金、轉售或轉移至其他帳戶。任何有效期或指定用途必須在發放前清楚列明；如發放時沒有列明到期日，該筆 PL Credit 不會因其後更新本條款而被追溯加入到期日。
01營運者及適用範圍
本《PL Credit條款》（「本條款」）適用於由 PL A-VENTURE LIMITED（「PL A-VENTURE」、「我們」、「本公司」）發出及管理的 PL Credit。
PL Credit 可源自合資格退款、Trade-in、推廣活動、客戶服務安排或其他清楚列明的方案。相關交易仍同時受《退款及退貨政策》、《Trade-in回收換購條款》、活動條款及其他適用政策規管；如某筆 PL Credit 的書面發放條件與本條款有衝突，以該筆 Credit 在發放前清楚列明的專項條件為準。
02PL Credit的性質
PL Credit 是供合資格購物使用的商店購物額，不是銀行存款、付款帳戶、電子貨幣、投資產品、利息帳戶或一般現金付款工具。PL Credit 不會產生利息，亦不會因匯率、通脹或時間而增值。
除適用法律另有規定或我們另有書面同意外，PL Credit 不可兌換或提取現金，不可用作現金購買產品的保證回購價值，亦不可用於支付任何帳戶以外的債務。
03會員帳戶及發放
顧客須使用有效電郵建立或確認指定會員帳戶，方可接收及使用 PL Credit。我們可要求核對訂單、Trade-in、身份、聯絡或其他合理所需資料，並只會將 Credit 加入獲確認的帳戶。
退款 Credit 一般在退貨或退款獲批後發放；Trade-in Credit 在申請人接受最終方案、產品獲確認接納及 Trade-in 完成後發放；其他 Credit 按相關活動或書面通知發放。表格、自動回覆、初步估值或申請編號均不代表 Credit 已獲批或已加入帳戶。
04金額、貨幣及帳戶紀錄
每筆 PL Credit 的金額、顯示貨幣及可用餘額以發放通知、會員帳戶或結帳頁的紀錄為準。除非發放時另有清楚說明，本條款不自行建立固定 Credit 兌換比例。
跨幣別訂單如獲接受，實際扣除金額可按網店或付款系統在結帳時採用的匯率或換算方式計算。銀行或第三方收取的費用、匯率差額及貨幣波動不會增加 PL Credit 餘額。
05有效期
PL Credit 不設統一固定有效期。只有在發放前或發放時已於活動、方案、通知或帳戶中清楚列明到期日的 Credit，才受該到期日限制。如發放時沒有列明到期日，我們不會僅因其後更新本條款而追溯加入或縮短有效期。
設有有效期的 Credit 須在到期日前成功套用於合資格訂單。未完成結帳、付款失敗、購物車保留或未提交訂單均不視為已使用。除適用法律或原發放條件另有規定外，已到期的 Credit 不作延長、補發或現金退款。
06使用範圍
PL Credit 可在官方 PL A-VENTURE Shopify 網店登入指定會員帳戶後，用於結帳頁顯示為合資格的產品或費用。實際可用範圍、可用金額及扣除次序以結帳頁及該筆 Credit 的發放條件為準。
除非另有清楚書面說明，PL Credit 不適用於 Equipment Rental、Gear Storage、Lessons、Camps、活動、旅遊安排、第三方商品或服務、禮品卡、其他儲值額、Trade-in產品估值，亦不可用於購買或增加另一筆 PL Credit。
07結帳、部分付款及餘額
如合資格訂單金額高於可用 PL Credit，顧客須以結帳頁接受的其他付款方式支付差額。如可用 Credit 高於訂單所需金額，未使用部分會保留於原會員帳戶，並繼續受原有條件及任何有效期限制。
PL Credit 只會在訂單成功提交及系統確認使用後扣除。購物車中的暫時顯示不保證庫存、價格、優惠或 Credit 已被保留。若結帳系統限制每張訂單可使用的 Credit 數量或組合，以結帳頁顯示為準。
08優惠、折扣及最低消費
除某筆 Credit 或推廣活動另有清楚列明外，本條款不自行設定最低消費。PL Credit 能否與折扣碼、會員優惠、套裝價、滿額贈品、特價或其他推廣同時使用，取決於當次活動條款及結帳頁設定。
如退貨、取消或修改訂單後不再符合優惠、贈品或最低消費條件，我們可按《退款及退貨政策》及原活動條款重新計算合資格退款、Credit 或應付金額。
09取消、退貨及退款
使用 PL Credit 購買的產品，其取消、退貨、瑕疵及退款資格按《退款及退貨政策》及適用法律處理。退款獲批後，原以 PL Credit 支付的合資格部分一般退回原會員帳戶為 PL Credit；以其他付款方式支付的合資格部分則按適用退款方式處理。
退回的 Credit 一般保留原來性質、限制及到期日。若訂單由我們取消、我們無法履行，或因我們的錯誤令顧客無法在原到期日前合理使用已套用的 Credit，我們會在合理情況下恢復該 Credit，並為已到期或即將到期的相關部分提供合理使用期。此安排不會將 Credit 轉為現金，除非適用法律另有規定。
顧客在合資格退款中明確選擇並接受以 PL Credit 退款後，一般不可再要求轉回現金或原付款方式；但因瑕疵、錯發、重大描述不符或我們錯誤而應退回原付款方式的款項，不會在未經顧客明確同意下被 PL Credit 取代。
10不可轉讓、轉售或合併
PL Credit 與獲發放的會員帳戶綁定。除我們因帳戶電郵更正、系統遷移或其他合理原因作出的書面安排外，不可贈送、轉讓、轉售、交換、抵押、合併至另一帳戶，或透過第三方買賣。
會員帳戶、訂單或產品的合法持有人有所變更，不會自動轉移 PL Credit。任何聲稱出售或轉移 Credit 的非官方安排對我們並無約束力，我們亦不負責相關損失。
11帳戶安全及未經授權使用
帳戶持有人應妥善保管登入資料、電郵帳戶及裝置，並確保帳戶資料準確。如發現未經授權登入、Credit 使用、電郵變更或其他可疑活動，請盡快聯絡我們。
在收到通知前已透過正確帳戶資料完成的交易，可能無法撤回。我們會合理調查個案，但除因我們未有採取合理安全措施、我們的錯誤或適用法律另有規定外，不保證補發因顧客披露登入資料、共用帳戶、電郵帳戶被入侵或其他不屬我們控制的原因而使用的 Credit。
12錯誤、欺詐及不當使用
如 PL Credit 因系統、輸入或計算錯誤、重複發放、退款撤銷、重大失實、欺詐、濫用或違反相關活動條款而不當加入或保留，我們可在合理通知後調查、暫停、修正或撤回尚未使用的不當 Credit。
如有合理需要，我們可暫停相關帳戶或訂單、要求證明，並依法追討已不當使用的金額。任何更正會盡量限於受影響的 Credit 或交易，不會無故取消與事件無關且合法取得的餘額。本條不限制顧客就錯誤提出解釋或證明的機會。
13帳戶關閉及計劃變更
顧客如要求關閉會員帳戶，應先使用任何合資格 PL Credit 或聯絡我們了解可行安排；關閉帳戶本身不會令 Credit 變成現金或自動轉移。因欺詐、非法活動或重大違反本條款而關閉帳戶的處理，按調查結果及適用法律決定。
我們可因營運、系統、安全、欺詐風險或法律要求更改、暫停或結束 PL Credit 計劃。任何更新不會僅因政策變更而追溯取消已合法發放的餘額、加入未有列明的到期日，或減少已完成交易下不能被排除的權利。如計劃永久結束，我們會就未使用的合資格 Credit 提供合理通知及使用安排。
14個人資料
我們會按《私隱政策》處理會員帳戶、訂單、退款、Trade-in、PL Credit 餘額、使用紀錄、通訊、安全及核實資料，用於發放及管理 Credit、處理訂單與退款、防止欺詐、回應查詢、保存紀錄及履行法律責任。
接收或使用 PL Credit 不會自動將帳戶持有人加入市場推廣名單。市場推廣會按獨立同意及適用法律處理。
15法律、語言及聯絡
本條款受香港特別行政區法律管轄。本條款不排除或限制《貨品售賣條例》、《管制免責條款條例》、《不合情理合約條例》或其他適用法律下不能被排除或限制的權利、補救或責任。
本條款備有中文及英文版本。如兩個版本之間有歧義、不一致或衝突，除適用法律另有規定外，以英文版本為準。

VIEW ENGLISH VERSION
01Operator and Scope
These PL Credit Terms (“Terms”) apply to PL Credit issued and administered by PL A-VENTURE LIMITED (“PL A-VENTURE”, “we”, “us” or “our”).
PL Credit may arise from an eligible refund, Trade-in, promotion, customer-service arrangement or another clearly stated programme. The underlying transaction remains subject to the Refund and Returns Policy, Trade-in Policy, promotional terms and other applicable policies. If specific written conditions clearly disclosed before issue of particular PL Credit conflict with these Terms, those specific conditions prevail for that Credit.
02Nature of PL Credit
PL Credit is store credit for eligible purchases. It is not a bank deposit, payment account, electronic money, investment product, interest-bearing account or general cash payment instrument. It earns no interest and does not increase with exchange rates, inflation or time.
Unless applicable law requires otherwise or we agree otherwise in writing, PL Credit cannot be redeemed or withdrawn for cash, does not guarantee a cash repurchase value for any product, and cannot settle a liability outside the member account.
03Member Account and Issue
A customer must use a valid email address to create or confirm the designated member account before receiving or using PL Credit. We may reasonably request verification of an order, Trade-in, identity, contact details or other necessary information and will add Credit only to the confirmed account.
Refund Credit is normally issued after a return or refund is approved. Trade-in Credit is issued after the applicant accepts the final offer, we confirm acceptance of the product and the Trade-in is completed. Other Credit is issued under the relevant promotion or written notice. A form, automated reply, preliminary valuation or application number does not mean Credit has been approved or added.
04Amount, Currency and Account Records
The amount, displayed currency and available balance of each PL Credit are shown in the issue notice, member account or checkout record. Unless clearly stated when issued, these Terms do not create a fixed Credit conversion ratio.
If a cross-currency order is accepted, the amount deducted may be calculated using the rate or conversion method applied by the Online Store or payment system at checkout. Third-party charges, foreign-exchange differences and currency movements do not increase the Credit balance.
05Validity
PL Credit has no single standard validity period. An expiry applies only where a date was clearly stated in the promotion, offer, notice or account before or when that Credit was issued. If no expiry was stated at issue, we will not impose or shorten one retrospectively merely by updating these Terms.
Credit with an expiry must be successfully applied to an eligible order before that date. An incomplete checkout, failed payment, retained cart or unsubmitted order is not use. Unless applicable law or the original issue conditions provide otherwise, expired Credit is not extended, reissued or refunded in cash.
06Permitted Use
PL Credit may be used, after signing in to the designated member account, for products or charges shown as eligible at checkout in the official PL A-VENTURE Shopify Online Store. Actual eligibility, available amount and deduction order are determined by checkout and the issue conditions for that Credit.
Unless clearly stated otherwise in writing, PL Credit cannot be used for Equipment Rental, Gear Storage, Lessons, Camps, events, travel arrangements, third-party goods or services, gift cards, other stored value, Trade-in product valuation, or to purchase or increase other PL Credit.
07Checkout, Part Payment and Balance
If an eligible order exceeds the available PL Credit, the customer must pay the difference using another method accepted at checkout. If available Credit exceeds the amount required, the unused portion remains in the original member account subject to its existing conditions and any expiry.
PL Credit is deducted only after the order is successfully submitted and the system confirms its use. A cart display does not reserve stock, price, promotion or Credit. If checkout limits the amount or combination of Credit usable in one order, the checkout display applies.
08Promotions, Discounts and Minimum Spend
Unless clearly stated for particular Credit or a promotion, these Terms do not impose a minimum spend. Whether PL Credit can be combined with a discount code, member offer, bundle price, gift-with-purchase, sale or another promotion depends on the applicable promotional terms and checkout settings.
If a return, cancellation or order amendment means the order no longer qualifies for a promotion, gift or minimum-spend condition, we may recalculate the eligible refund, Credit or amount payable under the Refund and Returns Policy and original promotional terms.
09Cancellation, Return and Refund
Cancellation, return, defect and refund eligibility for a product bought using PL Credit is governed by the Refund and Returns Policy and applicable law. After approval, the eligible portion originally paid by PL Credit is normally returned to the original member account as PL Credit; the eligible portion paid by another method is handled under the applicable refund method.
Returned Credit normally retains its original nature, restrictions and expiry. If we cancel or cannot fulfil an order, or our error prevents reasonable use of applied Credit before its original expiry, we will reasonably restore the Credit and provide a reasonable use period for an affected portion that has expired or is about to expire. This does not convert Credit into cash unless applicable law requires otherwise.
Once a customer expressly selects and accepts PL Credit as the method for an eligible refund, the customer normally cannot later require conversion to cash or the original payment method. However, an amount due to be refunded to the original payment method because of a defect, incorrect item, material misdescription or our error will not be replaced by PL Credit without the customer's express agreement.
10No Transfer, Resale or Account Consolidation
PL Credit is tied to the member account to which it was issued. Except for a written arrangement by us to correct an account email, migrate a system or address another reasonable circumstance, it cannot be gifted, transferred, resold, exchanged, pledged, consolidated into another account, or traded through a third party.
A change in lawful ownership of a member account, order or product does not automatically transfer PL Credit. An unofficial arrangement purporting to sell or transfer Credit does not bind us, and we are not responsible for resulting loss.
11Account Security and Unauthorised Use
The account holder must safeguard login details, the email account and devices, and keep account information accurate. Contact us promptly after discovering unauthorised access, Credit use, an email change or other suspicious activity.
A transaction completed using correct account credentials before we receive notice may be irreversible. We will reasonably investigate, but do not guarantee replacement of Credit used because the customer disclosed credentials, shared an account, suffered an email-account compromise or another cause beyond our control, except where we failed to take reasonable security measures, made an error or applicable law requires otherwise.
12Error, Fraud and Misuse
If PL Credit was improperly added or retained because of a system, input or calculation error, duplicate issue, reversed refund, material misrepresentation, fraud, misuse or breach of relevant promotional terms, we may investigate, suspend, correct or withdraw unused improper Credit after reasonable notice.
Where reasonably necessary, we may suspend the related account or order, request evidence and recover an improperly used amount as permitted by law. A correction will, where practicable, be limited to affected Credit or transactions and will not arbitrarily cancel an unrelated balance obtained lawfully. This section does not prevent a customer from explaining or providing evidence about an alleged error.
13Account Closure and Programme Changes
A customer requesting closure of a member account should first use eligible PL Credit or contact us about available arrangements. Account closure does not convert Credit into cash or automatically transfer it. Credit in an account closed for fraud, unlawful activity or a material breach of these Terms is handled according to the investigation outcome and applicable law.
We may change, suspend or end the PL Credit programme for operational, system, security, fraud-risk or legal reasons. An update will not, merely because of a policy change, retrospectively cancel a lawfully issued balance, add an undisclosed expiry or reduce non-excludable rights arising from a completed transaction. If the programme ends permanently, we will provide reasonable notice and a reasonable use arrangement for unused eligible Credit.
14Personal Data
We handle member-account, order, refund, Trade-in, PL Credit balance, usage, communication, security and verification data under our Privacy Policy to issue and administer Credit, process orders and refunds, prevent fraud, answer enquiries, maintain records and meet legal obligations.
Receiving or using PL Credit does not automatically subscribe the account holder to marketing. Marketing is handled under separate consent and applicable law.
15Law, Language and Contact
These Terms are governed by the laws of the Hong Kong Special Administrative Region. Nothing in these Terms excludes or limits any right, remedy or liability that cannot be excluded or limited under the Sale of Goods Ordinance, Control of Exemption Clauses Ordinance, Unconscionable Contracts Ordinance or other applicable law.
If the Chinese and English versions are ambiguous, inconsistent or conflicting, the English version prevails unless applicable law requires otherwise.
